Welcome to Tech Suite AI, a platform provided by Tech Suite One Business Software, LLC! These Terms of Service ("Terms") govern your access to and use of our all-in-one AI platform ("Service"), including any content, functionality, and services offered on or through the platform. By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

 

1. Acceptance of Terms

By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. These Terms constitute a legally binding agreement between you and Tech Suite One Business Software, LLC ("Tech Suite One").

 

2. Modifications to Terms

Tech Suite One reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes via email or through a notice on the Service. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically.

 

3. Service Description and Availability

Tech Suite AI provides a subscription-based SaaS platform that includes tools for virtual assistants, project management, financial management, marketing automation, data analytics, and more, powered by advanced AI technology. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be available at all times or without interruption. Tech Suite One reserves the right to modify or discontinue the Service, temporarily or permanently, with or without notice.

 

4. Account Registration, Security, and Use

To use certain features of the Service, you must register for an account. You agree to:

  • Account Information: Provide accurate, current, and complete information during the registration process. You agree to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You must notify Tech Suite AI immediately of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not authorized by you.
  • Prohibited Uses: You agree not to use the Service for any illegal or unauthorized purpose, and you agree to comply with all local laws in your jurisdiction regarding online conduct and acceptable content.

Tech Suite AI reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) if you provide any information that is untrue, inaccurate, not current, or incomplete.

 

5. License and Restrictions

Subject to your compliance with these Terms, Tech Suite One grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes.

 

You agree not to:

  • Reverse Engineering: Copy, modify, create derivative works of, reverse engineer, decompile, or disassemble any part of the Service, including the AI algorithms and models used within the platform.
  • Competing Services: Use the Service to develop a competing platform or service, especially those involving AI technologies similar to those used by Tech Suite AI.
  • Third-Party Access: Sell, sublicense, rent, lease, or distribute access to the Service to any third party.
  • Compliance: Use the Service in a manner that violates any applicable law, regulation, or these Terms.

 

6. User Content

You retain ownership of any content you upload, submit, or otherwise make available through the Service ("User Content"). By making User Content available, you grant Tech Suite One a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, and irrevocable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

You represent and warrant that:

  • Ownership/Rights: You own or have the necessary rights to upload and share the User Content.
  • Compliance: The User Content does not infringe the intellectual property, privacy, or other rights of any third party.
  • Acceptable Content: User Content will not contain any unlawful, defamatory, obscene, or otherwise objectionable material.

 

7. Data Privacy and Security

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. Tech Suite One is committed to protecting your privacy and maintaining the security of your data.

  • Data Collection: We collect, process, and store personal and business information in accordance with our Privacy Policy. This includes information you provide during account registration, as well as data generated through your use of the Service.
  • Data Usage: We use your data to provide, improve, and personalize the Service. This may include analyzing usage trends, customizing your experience, and providing customer support. We may also use anonymized and aggregated data for research, analytics, and development purposes.
  • AI Data Processing: By using the Service, you acknowledge and consent to the processing of your data by our AI algorithms for the purpose of enhancing the functionality, personalization, and efficiency of the Service. This may include automated decision-making processes and recommendations generated by AI.
  • Data Security: Tech Suite AI employs industry-standard security measures to protect your data from unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure, and we cannot guarantee absolute security.
  • Data Retention: We retain your data for as long as your account is active or as needed to provide you with the Service. We may also retain and use your information to comply with legal obligations, resolve disputes, and enforce our agreements.

 

8. Data Processing and Compliance with GDPR

For users located in the European Union, Tech Suite One complies with the General Data Protection Regulation (GDPR). As a data controller, we collect and process personal data in accordance with the GDPR. You have the right to:

  • Access: Request access to the personal data we hold about you.
  • Rectification: Request corrections to any inaccurate or incomplete personal data.
  • Erasure: Request the deletion of your personal data when it is no longer needed for the purposes for which it was collected, or when you withdraw consent (where applicable).

9. Subscription Fees, Payment, and Promotions

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable subscription fees, which are billed on a recurring basis as specified during the sign-up process.

  • Billing: You authorize Tech Suite One to charge your chosen payment method for the recurring subscription fees. All fees are non-refundable except as required by law or as otherwise stated in a specific Service-level agreement.
  • Subscription Changes: You may upgrade or downgrade your subscription plan at any time. Any changes to your plan will take effect at the start of the next billing cycle unless otherwise specified.
  • Non-Payment: If payment is not successfully settled, we may suspend or terminate your access to the Service until payment is received. You remain responsible for any uncollected amounts.
  • Promotions and Discounts: From time to time, Tech Suite One may offer promotional discounts or special offers on subscription fees ("Promotions"). These Promotions may be subject to additional terms and conditions, which will be provided to you at the time of the offer. Promotions are only valid for the time period and under the conditions specified in the offer. Tech Suite One reserves the right to modify or terminate Promotions at any time without prior notice. Unless otherwise specified, Promotions cannot be combined with other offers or discounts.
  • Introductory Offers: If you receive an introductory offer, such as a discounted rate for a specified period, upon the expiration of the promotional period, your subscription will automatically renew at the regular price unless you cancel your subscription prior to the end of the promotional period.
  • Promotional Abuse: Any attempt to abuse, misuse, or exploit any Promotion or discount may result in the immediate termination of your subscription and the cancellation of any outstanding promotions, at Tech Suite One's sole discretion.
  • Refund Policy: All subscription fees are non-refundable, except as required by law. If you cancel your subscription, you will not be entitled to a refund of any fees already paid. However, you will continue to have access to the Service until the end of your current billing period.
  • Tax Responsibilities: You are responsible for any applicable taxes on your subscription fees. Depending on your location, taxes may be calculated and charged through our system at the time of purchase, or you may be responsible for remitting applicable taxes directly to the appropriate taxing authority. Tech Suite One is not liable for any taxes that may be due in connection with your use of the Service. You agree to indemnify and hold Tech Suite One harmless from and against any claims arising out of your failure to pay applicable taxes.

 

10. Service Level Agreement (SLA)

Tech Suite AI strives to provide high availability of the Service. However, we make no guarantees regarding the uptime, responsiveness, or error-free operation of the Service. Any SLAs provided are subject to the limitations and disclaimers set forth in these Terms and any additional documentation provided to you.

 

11. Third-Party Services

The Service may integrate with or allow access to third-party services ("Third-Party Services"). Your use of Third-Party Services is subject to the terms and conditions of those services. Tech Suite AI does not endorse, control, or assume responsibility for any Third-Party Services.

 

12. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, text, graphics, images, AI algorithms, models, and all other materials, are the exclusive property of Tech Suite One or its licensors. Nothing in these Terms grants you any rights in or to the Service except as expressly set forth herein.

 

13. Indemnification

You agree to indemnify, defend, and hold harmless Tech Suite One, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

 

14. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Tech Suite AI does not warrant that:

  • Service Requirements: The Service will meet your specific requirements.
  • Service Continuity: The Service will be uninterrupted, timely, secure, or error-free.
  • Results Accuracy: The results that may be obtained from the use of the Service will be accurate or reliable.
  • Corrections: Any errors in the Service will be corrected.

 

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Tech Suite One, its affiliates, or their respective directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Tech Suite AI has been advised of the possibility of such damages.

 

In no event shall Tech Suite AI’s aggregate liability arising out of or related to these Terms exceed the total amount paid by you to Tech Suite AI for the Service in the twelve (12) months preceding the event giving rise to the claim.

 

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Atlanta, Georgia, and you consent to the personal jurisdiction and venue therein.

 

17. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Atlanta, Georgia. Judgment on the award may be entered in any court having jurisdiction.

 

You and Tech Suite AI agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this specific provision is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.

 

18. Force Majeure

Tech Suite One shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

 

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which will remain in full force and effect.

 

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Tech Suite AI on the Service, constitute the entire agreement between you and Tech Suite One regarding the Service and supersede all prior agreements and understandings, whether written or oral, relating to the Service.

 

21. Waiver

No waiver by Tech Suite One of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Tech Suite AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

 

22. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Tech Suite One’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Tech Suite One may assign or transfer these Terms at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
